In the past two years, the strong growth momentum of listings special purpose acquisition companies (SPACs) in the US has drawn much market attention, especially among investors and companies planning to go public. The new SPAC listing regime in Hong Kong have also caught widespread attention.

The Stock Exchange of Hong Kong released its consultation conclusions and new rules for a listing regime for SPACs on 17 December 2021 as part of efforts to elevate Hong Kong’s leadership as an international fundraising center. This landmark reform provides an additional fundraising and investment opportunity for companies and investors.

Since the commencement of Hong Kong’s new SPAC listing regime on 1 January 2022, the Stock Exchange of Hong Kong has accepted six SPAC listing applications with some targeted at acquiring businesses in new economy sectors including green energy, life science and health care. The SPAC listing regime in Hong Kong has been described as being more premium than other such regimes and targets a niche of investors and companies to ensure quality listings with more safeguards.

Speaker Profile

Johnny is an offering services partner for Capital Market Services Group in the Southern region in Deloitte China, focusing on SPAC listings. Johnny has over 20 years of external audit experience. He has predominantly focused on serving clients listed in Hong Kong and companies seeking initial public offering (IPOs) on the Stock Exchange of Hong Kong. Over the past few years, he has successfully assisted many of Deloitte China’s clients to list on the Stock Exchange of Hong Kong.

Winnie has almost 20 years of professional experience in Hong Kong, PRC, and cross-border business and tax advisory services. She is specialized in providing tax and regulatory advice to multinational corporations, State-Owned Enterprises, listed companies as well as high-potential private companies. She has deep experience in all kinds of corporate tax projects, from general tax/regulatory compliance to tax planning and implementation including investment strategies and corporate reorganizations. She is particularly experienced in providing pre-IPO tax solutions to her clients, including identification and cleaning-up of uncertain tax positions, advising the tax implications from pre-IPO restructuring, etc. Apart from her partner role in Deloitte China, she also serves as a Council Member for the Taxation Institute of Hong Kong. She is also a frequent speaker at various seminar and tax workshop.
