SPECIAL RESOLUTION

OF

THE TAXATION INSTITUTE OF HONG KONG

PASSED ON 16TH NOVEMBER 1993

At an Extraordinary General Meeting of the above Company held at the Overseas Bankers' Club (Hong Kong), 43rd Floor, Gloucester Tower, Landmark, Central, Hong Kong on 16th November 1993 at 7:00 p.m., the following resolution was duly passed as a Special Resolution:-

"THAT the Articles of Association of the Institute be amended in the following manners: -

1. By deleting 'Vice-President' in the third line of Article 34 and substituting therefor 'Vice-Presidents'.

2. By deleting 'Vice-President' in the second line of Article 52 and substituting therefor 'any one of the Vice-Presidents'.

3. By deleting 'Vice-President' in the fourth line of Article 73(1) and substituting therefor 'two Vice-Presidents'.

4. By deleting 'twenty' in the second line of Article 74 and substituting therefor 'twenty-five'.

5. By deleting 'the Vice-President' in the second line of Article 89 and substituting therefor 'any one of the Vice-Presidents'."
