The Council
71. There shall be a Council of
the Institute composed of persons elected by the Institute in Annual
General Meeting from amongst the Members thereof.
72. The Council shall be the governing
body of the Institute and shall generally manage and conduct the
affairs and business of the Institute.
* 73. (1) Without prejudice to the
generality of Article 71 the Members of the Council present at the
first Meeting of the Council after each Annual General Meeting of
the Institute, may elect a President, two Vice-Presidents, Hon.
Secretary, Hon. Treasurer and other Honorary Officers of the Institute
from amongst their number in such manner and for such purposes as
they think fit, the term of office in each case to expire with the
close of the next Annual General Meeting, and any casual vacancy
in these offices shall be filled for any unexpired portion of the
year then current in like manner at the next meeting of the Council
after the occurrence of such casual vacancy; special notice of such
last-mentioned Meeting and of the existence of any such casual vacancy
shall be given to all the Members of the Council. Provided that
no Member shall hold the position of the President for more than
three consecutive years.
(2) A provision of the Ordinance
or these presents requiring or authorising a thing to be done
by or to a Member of the Council and the Secretary shall not be
satisfied by its being done by or to the same person acting both
as a Member of the Council and as or in place of the Secretary.
* 74. The Council shall consist of not fewer than
thirteen nor more than twenty-five elected Members.
75. A Member shall not be qualified
to be elected a Member of the Council unless there shall have been
left at the Registered Office of the Institute written notice signed
by a Member duly qualified to attend and vote at the Meeting for
which the notice is given of his intention to propose such person
for election. Any such notice shall be so left at the Registered
Office of the Institute not later than the fourteen days before
the Annual General Meeting. A statement under the hand of the person
proposing to submit himself for election of his willingness to be
elected a Member of the Council shall accompany the said notice.
76. At the Annual General Meeting
in every year all Members of the Council for the time being shall
retire from office. The Retiring Members shall be eligible for re-election.
77. The Secretary shall before
each Annual General Meeting prepare a list of those Members of the
Institute nominated for election to the Council and shall post a
copy of such list to every Member of the Institute at his registered
address at least seven clear days before the Annual General Meeting
at which the election of Members of the Council is to take place.
Such list shall contain the names, registered addresses and appointments
(if any) relating to the nominees named therein.
78. The continuing Members of the
Council may act notwithstanding any vacancy in their body, but,
if and so long as their number is reduced below the number fixed
by or pursuant to these presents as the necessary quorum of the
Council, the continuing Members may act for the purpose of increasing
the number of Members of the Council to that number or of summoning
a General Meeting of the Institute, but for no other purpose.
79. The Council shall have power
from time to time and at any time to appoint any Member of the
Institute to be a Member of the Council either to fill a casual
vacancy or as an additional Member of the Council but so that
the total number of Members shall not at any time exceed the number
fixed in accordance with these presents. Any member so appointed
shall hold office only until the next following Annual General
Meeting when he shall forthwith retire and shall then be eligible
for re-election.
